1. Acceptance of Terms

Tenzy is a product operated by OpenBarclay (https://openbarclay.com/). In these Terms, "Tenzy," "we," "us," and "our" refer to OpenBarclay. By creating an account or using the Tenzy mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, do not use the App.

2. Description of Service

Tenzy is a mobile learning platform that allows users to create study guides using a terms-by-categories matrix, study with flashcards, track progress, and set learning goals. The App is available on iOS and Android devices.

3. Account Registration

To use the App, you must create an account and provide accurate information. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Notifying us immediately of any unauthorized use.

You must be at least 13 years old to create an account. If you are under 18, you must have parental or guardian consent.

4. Subscription Plans and Payments

Tenzy offers a free plan and paid plans:

  • Free: $0. Create up to 3 study guides, with basic study features.
  • Plus Unlimited — Monthly: $9.99/month. Unlimited study guides and all premium study features.
  • Plus Unlimited — Annual: $59.99/year, including a 7-day free trial. Same features as the monthly plan, billed annually.
  • Lifetime: $179 one-time purchase for permanent access to Plus Unlimited features. This is a single charge and does not renew.

Prices are shown in your local currency at the point of purchase and may vary by region. Paid plans are sold through your platform app store (Apple App Store or Google Play) as in-app purchases.

Monthly and annual subscriptions automatically renew at the end of each billing period, and your store account is charged for renewal within 24 hours before the period ends, unless you cancel at least 24 hours before the period ends. If you begin the annual free trial, any unused portion of the trial is forfeited when you purchase the subscription. You can manage or cancel subscriptions, and turn off auto-renewal, in your Apple App Store or Google Play account settings.

Refunds are handled according to the Apple App Store or Google Play refund policies, as applicable.

5. Promotional Offers

Tenzy may offer promotional free trials or discounts from time to time. The terms of any such offer, including its duration and eligibility, are disclosed at the point of purchase through the App Store and are subject to the applicable store policies.

6. User Content

You retain ownership of all study content you create (study guides, terms, definitions, images). By using the App, you grant us a limited license to store, process, and display your content solely for the purpose of providing the service.

You are responsible for ensuring your content does not:

  • Infringe on intellectual property rights of others.
  • Contain illegal, harmful, or offensive material.
  • Violate any applicable laws or regulations.

If you make study guides public, other users may view (but not edit) your content.

7. Acceptable Use

You agree not to:

  • Use the App for any unlawful purpose.
  • Attempt to gain unauthorized access to our systems or other users' accounts.
  • Reverse engineer, decompile, or disassemble the App.
  • Use automated tools (bots, scrapers) to access the App.
  • Upload malicious code, viruses, or harmful content.
  • Harass, abuse, or harm other users.
  • Use the App to distribute spam or unsolicited messages.
  • Circumvent subscription limits or payment requirements.

8. Intellectual Property

The App, including its design, code, logos, and trademarks, is owned by Tenzy and protected by intellectual property laws. You may not copy, modify, distribute, or create derivative works of the App without our written permission.

9. Account Deletion

You may delete your account at any time from the app settings. Upon deletion:

  • All your personal data, study guides, progress, and settings will be permanently deleted within 30 days.
  • Active subscriptions will be canceled.
  • This action cannot be undone.

We may also terminate or suspend your account if you violate these Terms.

10. Data Export

You may export your study data at any time using the in-app export feature. Exported data includes study guides, terms, categories, study sessions, goals, and analytics. Data is provided in JSON format.

11. Disclaimers

The App is provided "as is" and "as available" without warranties of any kind, either express or implied. We do not guarantee that:

  • The App will be uninterrupted or error-free.
  • Study content created by other users is accurate.
  • The App will meet your specific learning objectives.

Tenzy is a study tool and does not replace professional education or tutoring.

12. Limitation of Liability

To the maximum extent permitted by law, Tenzy shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of data, profits, or goodwill, arising from your use of or inability to use the App.

Our total liability shall not exceed the amount you paid to us in the 12 months preceding the claim.

13. Indemnification

You agree to indemnify and hold harmless Tenzy, its officers, directors, and employees from any claims, damages, or expenses arising from your use of the App or violation of these Terms.

14. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Colorado, United States, without regard to its conflict-of-law rules.

Most concerns can be resolved quickly — please contact us first at support@tenzy.app so we can try to resolve the matter informally. If we cannot, you and OpenBarclay agree to resolve the dispute through binding individual arbitration rather than in court, except that either party may instead bring an individual claim in small-claims court if it qualifies.

To the extent permitted by law, disputes will be resolved only on an individual basis, and class, collective, or representative actions are waived. Where binding arbitration is not permitted, disputes shall be resolved exclusively in the state or federal courts located in Colorado. Nothing in this section limits any rights you may have under mandatory consumer-protection laws in your place of residence.

15. Apple App Store (iOS) — Additional Terms

The following additional terms apply if you download or use the App from the Apple App Store:

  • Acknowledgement: These Terms are between you and OpenBarclay only, and not with Apple Inc. ("Apple"). OpenBarclay, not Apple, is solely responsible for the App and its content.
  • Scope of License: Your license to use the App is a non-transferable license to use the App on any Apple-branded products that you own or control, as permitted by the App Store Usage Rules.
  • Maintenance and Support: OpenBarclay is solely responsible for providing any maintenance and support for the App. Apple has no obligation to furnish any maintenance or support services.
  • Warranty: OpenBarclay is solely responsible for any product warranties, whether express or implied by law, to the extent not effectively disclaimed. If the App fails to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price (if any) for the App; to the maximum extent permitted by law, Apple has no other warranty obligation with respect to the App.
  • Product Claims: OpenBarclay, not Apple, is responsible for addressing any claims by you or a third party relating to the App or your possession or use of it, including product liability claims, claims that the App fails to conform to any legal or regulatory requirement, and claims arising under consumer-protection, privacy, or similar laws.
  • Intellectual Property: In the event of any third-party claim that the App or your use of it infringes that third party's intellectual property rights, OpenBarclay, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such claim.
  • Legal Compliance: You represent and warrant that you are not located in a country subject to a U.S. Government embargo or designated as "terrorist supporting," and that you are not listed on any U.S. Government list of prohibited or restricted parties.
  • Third-Party Terms: You must comply with any applicable third-party terms of agreement when using the App.
  • Third-Party Beneficiary: Apple and its subsidiaries are third-party beneficiaries of these Terms and, upon your acceptance, will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

16. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting updated Terms in the App and updating the "Last updated" date. Continued use of the App after changes constitutes acceptance of the updated Terms.
